By scheduling any services with Riz Mirza, the client unequivocally and legally binds themselves to adhere to all of the subsequent Terms and Conditions and Policies herein.

COVID 19

We are following all practices to provide a safe healing environment for you. If you are vaccinated or you are Covid free and have not been diagnosed within 2 weeks of an in-person activity, you are welcome! We offer cleaning solutions and open airways, and we keep our activities to a low group count.

No party, whether it be us, you, or any other party involved, shall bear responsibility for contracting Covid-19. In the event of such an occurrence, we are obligated to adapt and find solutions. Your compliance with the rules, regulations, and guidelines set forth by state, local government, or country authorities is your own responsibility. Should either you or Riz & Oriah Mirza be unable to attend an event or enter a country due to a positive Covid-19 test, all associated fees shall be the responsibility of the affected party. We emphasize the shared responsibility in this matter, and we all must address our respective situations accordingly. Your understanding and cooperation are greatly appreciated.

SACRED EARTH RETREATS

ACCOMMODATIONS

The selection of accommodations and sites for each retreat shall be at the sole discretion of tour operators Riz & Oriah Mirza. By signing and making payment for your non-refundable ticket, you unequivocally agree to this arrangement. Please be advised that this is not a luxury retreat service with 5-star accommodations unless an additional fee is paid to Red Eagle Universal Inc for such upgrades. The retreat primarily offers accommodations in the range of 3 and 4-star hotels, which are equivalent to or exceed the standards of similar star-rated hotels in the United States.

These selected hotels are characterized by their cleanliness, comfort, safety, and fully staffed facilities, making them highly recommended options that align with the budgetary considerations for our extensive retreats. We have intentionally maintained competitive retreat fees to ensure accessibility to a broader audience, providing the opportunity to travel with a world-renowned psychic medium/trance channel Riz Mirza/ Oriah Mirza to international destinations. It's important to note that the retreat primarily focuses on delivering a unique experience and the insights of the aforementioned individual, rather than specialized luxury services.

Should you desire accommodations with a higher star rating, you have the liberty to arrange for such lodging independently. However, it is imperative that any such modifications do not disrupt the group's itinerary or travel schedules, which have been thoughtfully planned in advance. Please be advised that additional costs associated with alternative accommodations will be your responsibility, and payment for these separate arrangements must be settled upon arrival.

Furthermore, we extend the courtesy of providing airport transportation upon your arrival. Please watch for our representative's signage, or identify yourself as instructed.

**No Smoking, Health, and Addiction Policy for Retreats**

**Introduction:**

At Sacred Earth Retreats, we are committed to providing a safe and supportive environment for all participants. To ensure the well-being and enjoyment of everyone involved, we have established the following policy regarding smoking, health, and addiction.

**1. No Smoking Policy:**

Smoking of any kind, including but not limited to cigarettes, cigars, electronic cigarettes, and vaping devices, is strictly prohibited on the premises of any retreat. We promote a smoke-free environment to maintain the health and comfort of all participants.

**2. Health Requirements:**

a. Participants must be in good physical health to attend any retreat. Prior to the retreat, participants may be required to provide medical information or a statement from a healthcare professional certifying their ability to participate in the retreat's activities if they are not in good health.

b. Participants with known medical conditions or recent surgeries must inform the retreat organizers in advance to ensure appropriate accommodations and support can be arranged.

**3. Addiction-Free Policy:**

a. All participants are required to affirm that they are not currently suffering from any form of addiction, including but not limited to substance abuse, alcoholism, or behavioral addictions.

b. If a participant is in recovery from addiction, they should have a stable and documented period of sobriety and should inform the retreat organizers about their recovery journey.

**4. Support and Assistance:**

a. Participants who may require specific accommodations due to health conditions or disabilities are encouraged to contact the retreat organizers in advance to discuss their needs.

b. Sacred Earth Retreats may provide resources or referrals to participants who require support for addiction-related issues. We are committed to offering assistance and maintaining confidentiality in such cases.

**5. Compliance:**

a. Participants are expected to adhere to this policy and respect the well-being and comfort of fellow participants.

b. Violation of this policy may result in the participant being asked to leave the retreat without a refund.

**6. Acknowledgment:**

Participants acknowledge their understanding and acceptance of this policy when registering for any Retreat with Sacred Earth Retreats. By attending the retreat, participants agree to comply with all aspects of this policy.

**7. Weather Conditions Policy: **

In the event of suboptimal weather conditions, should the retreat proceed as scheduled and a participant elects to withdraw their attendance voluntarily, it is hereby understood and agreed that no refunds shall be issued. This policy is in effect regardless of the participant's reasons for non-attendance due to weather conditions. This provision is binding upon all participants and is enforceable under the laws of the State of California.

At Sacred Earth Retreats, our goal is to create a nurturing and inclusive environment where all participants can fully benefit from their retreat experience. We appreciate your cooperation in adhering to these guidelines, which are designed to ensure the safety, health, and well-being of all.

For the optimal experience during your reading, it is imperative that you choose a time when you can guarantee an environment free from disruptions and distractions. In order to maintain the integrity of the reading, it is essential that you ensure no other individuals are present in the room with you during the session. This measure is necessary to enable Riz to direct his full attention and energy exclusively to your reading.

Furthermore, please be aware that in order to schedule a reading, you must meet the minimum age requirement of 18 years or older. Alternatively, if you are under 18 years old, you must obtain explicit consent from a parent or legal guardian.

PAYMENT AND SERVICE DISCLAIMERS

This document, hereinafter referred to as the "Payment and Service Disclaimers," establishes the legally binding terms and conditions governing payment for services and disclaimers pertaining to the nature and outcome of services provided by Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza, collectively referred to as the "Service Providers."

Payment Based on Service Duration: Payment for services rendered is contingent upon the duration of time expended on the preparation for and delivery of said services. Clients are hereby informed that the efficacy, success, or results of services are not guaranteed.

No Guarantees on Spirit Communication: The Service Providers specifically disclaim any responsibility or guarantee regarding their ability or inability to establish contact with specific spirits, a predetermined number of spirits, or the provision of responses to specific spiritual inquiries during a session. It is expressly acknowledged that there is no assurance or guarantee that any particular spirit will communicate through Riz during the session.

PAYMENT REQUIREMENTS

Legally Binding Provisions for Payment Requirements

This document, hereinafter referred to as the "Payment Requirements," delineates the legally binding terms and conditions governing payments for appointments, packages, and Sacred Earth Retreats facilitated by Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza, collectively referred to as the "Service Providers."

Immediate Payment: All appointments and packages must be paid for in full at the time of scheduling or purchase. The Service Providers do not offer deferred payment arrangements for these services.

Payment Arrangements for International Sacred Earth Retreats: For Sacred Earth Retreats, the Service Providers may, at their discretion, offer the option for Clients to make two payments. Clients considering this payment arrangement are strongly advised to review the accompanying contract thoroughly before making a decision. NO SHOW/NO ANSWER/WRONG NUMBER/SKYPE ADDRESS:

Riz will call you two (2) times during the time of your appointment. If these attempts are unsuccessful then your appointment will be marked as a NO SHOW/NO

NO REFUNDS for NO SHOW/NO ANSWER appointments. Appointments with wrong phone numbers or Skype addresses will be canceled after 2 attempts have been made with NO REFUND.

CANCEL/CHANGE APPOINTMENTS

NO REFUNDS will be granted for canceled appointments or Session Packages. NO EXCEPTIONS WILL BE MADE. Please do not book an appointment if you do NOT intend to keep it. You may reschedule your reading for another available slot up to one year from the original session date.

You are securing a spot that could have been given to a paying client who wanted the time slot. NO REFUNDS will be given for NO SHOW/NO ANSWER/WRONG NUMBER/SKYPE ADDRESS appointments. It is the client’s responsibility to provide the correct information at the time of scheduling. It is recommended that you keep track of your appointment.

NO READING SUBSTITUTES POLICY

Legally Binding Provisions for No Reading Substitutes Policy

This document, hereinafter referred to as the "No Reading Substitutes Policy," sets forth the legally binding terms and conditions governing the allocation of payments and reading options for services provided by Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza, collectively referred to as the "Service Providers."

PAYMENT ALLOCATION Payments made for scheduled readings are specific to the designated purchase and cannot be substituted for any other services or purchases. Each reading option constitutes a separate and distinct purchase, with its own associated payment fee. Under no circumstances shall reading options be altered, exchanged, or interchanged in any manner. All purchases are considered final and non-transferable.

AGE REQUIREMENT

Legally Binding Provisions for Age Requirement

This section outlines the age requirement for scheduling and purchasing Psychic Readings or Healing Sessions from the Service Providers. By engaging in such services, the Client agrees to the following conditions:

You must be 18 years of age or older to schedule and purchase a Psychic Reading or Healing Session. Clients under the age of 18 may engage in these services with the express consent of a parent or legal guardian. The Service Providers reserve the right to verify the age of the Client, and any misrepresentation of age may result in the termination of services.

By scheduling, purchasing, or engaging in any services offered by the Service Providers, the Client acknowledges their understanding of and agreement to the terms stipulated in these provisions, which constitute a legally binding contract between the Client and Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza. The Client further acknowledges that they have had the opportunity to seek independent legal counsel or advice before availing themselves of the services provided by the Service Providers.

REFUND POLICY FOR READINGS OR EVENTS

Legally Binding Provisions for Refund Policy

This document, hereinafter referred to as the "Refund Policy," outlines the legally binding terms and conditions governing the refund process for services provided by Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza, collectively referred to as the "Service Providers."

Intuitive Psychic Reading Refund: In the event that Riz Mirza, during an Intuitive Psychic Reading, determines within the initial 5 minutes of the session that he is unable to establish a connection and receive messages from spirit for the Client, he shall promptly terminate the reading and initiate a refund of the Client's payment for that specific reading. No refunds shall be granted for Intuitive Psychic Readings that have exceeded 5 minutes in duration.

No Refunds for Specified Services: The Service Providers do not offer refunds for the following services or scenarios, including but not limited to:

Private Readings
Energy Healings
Intuitive Counseling sessions
Retreats
Online documents
Video classes
Package purchases, including unused sessions within a package

Client Responsibility: The Client acknowledges their responsibility to review and understand this Refund Policy before availing themselves of any services offered by the Service Providers.

By engaging in any of the aforementioned services or making payments to the Service Providers, the Client confirms their comprehension of and agreement to the terms delineated in this Refund Policy. These terms constitute a legally binding contract between the Client and Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza. The Client further acknowledges that they have had the opportunity to seek independent legal counsel or advice prior to utilizing the services or making payments to the Service Providers. Legally Binding Provisions for Credit and Package Expiration

This document, hereinafter referred to as the "Terms," establishes the legally binding terms and conditions governing the expiration of credits and packages issued by Riz Mirza, Red Eagle Universal Inc, and Oriah Mirza, collectively referred to herein as the "Service Providers."

Expiration Period: All credits and packages acquired from the Service Providers, including but not limited to those issued as part of service agreements or purchases, shall have a defined expiration period. The expiration period for credits and packages shall be one (1) year from either the date of purchase or the date of the issued credit, as specified at the time of acquisition.
Effect of Expiration: Upon the expiration of credits or packages, the Client shall forfeit any unused portions thereof. The Service Providers shall have no obligation to honor or extend the validity of expired credits or packages.
Notice of Expiration: The Client acknowledges that it is their responsibility to monitor the expiration date of credits and packages and to utilize them within the designated timeframe. The Service Providers shall not be responsible for notifying the Client of impending expirations.
No Refunds or Extensions: The Service Providers shall not be obligated to provide refunds or extensions for expired credits or packages, except as required by applicable laws or regulations.

Legal and Binding Disclaimer for Services

By scheduling an appointment with Riz Mirza, you, hereinafter referred to as the "Client," expressly acknowledge and agree to the following legally binding terms and conditions:

Non-Expertise: Riz Mirza is not a licensed Medical Expert or Attorney, and as such, he is prohibited from providing, and you understand that he will not provide, any form of Legal advice or Medical diagnosis during the course of his services.
Personal Responsibility: The Client accepts full responsibility for all actions and decisions taken in their life, exercising their own free will, and acknowledges that Riz Mirza will not be held accountable for any consequences arising from such actions or decisions.
Complementary Services: The services offered by Riz Mirza are not intended to substitute for professional, medical, financial, or legal counseling. The Client is encouraged to seek qualified advice from appropriate professionals in these respective fields when necessary.
No Responsibility for Decisions: Riz Mirza disclaims any responsibility for the decisions made by the Client as a result of receiving services from him, and such decisions are subject to the Client's own personal interpretation.

IMPORTANT INFORMATION

Compliance with California Legal Standards:

We are a family-operated business that upholds the highest standards of integrity. In accordance with California legal standards and for the safety and well-being of our family and clients, we are unable to accept individuals who are actively experiencing severe mental instability, under the influence of drugs or alcohol, or taking psychotropic pharmaceuticals. Such circumstances present potential risks during our deep healing sessions, where family members are consistently present. We strongly advise individuals seeking healing services to consult with a qualified mental health professional for appropriate guidance.

Past experiences have necessitated our refusal of service to individuals falling within these categories, as we have encountered situations that posed threats to our safety and business. It is essential to emphasize that we are not a mental health facility. If you are dealing with severe childhood abuse, we urge you to seek the assistance of a licensed therapist, as our services may entail the recall of past experiences, potentially impacting your stability. Our primary commitment is to protect our business and family, ensuring the safety and satisfaction of our valued clients while maintaining a stable environment.

Strict Adherence to Professional Boundaries:

The professional relationship established with your psychic, Riz, is governed by strict boundaries that are upheld both during and after your collaborative work. Based on substantial experience, we have found that the preservation of these boundaries is crucial to the retention of valuable insights, benefits, and accuracy of future readings. Any deviation from these boundaries may compromise the integrity of the psychic-client relationship and the outcomes of the sessions.

Services for Entertainment, Educational, and Spiritual Purposes:

It is important to note that all services offered by Riz Mirza are intended solely for entertainment, educational, and/or spiritual purposes. Riz Mirza does not provide diagnoses or treatment for medical or psychological conditions, offer medical advice, prescribe medications, or perform medical procedures on any animals or humans. These services are designed to offer insights, guidance, and personal development opportunities within the realms of entertainment, education, and spirituality, in compliance with California legal standards. It is imperative for clients to seek the expertise of qualified medical and mental health professionals for medical or psychological concerns.

CONFIDENTIALITY

California Confidentiality Standards: Psychic medium services are conducted with the utmost commitment to confidentiality, in compliance with the prevailing legal standards of the State of California. All information, insights, or details provided during the readings shall be treated as strictly confidential and shall not be disclosed to any third party without the Client's express written consent. This confidentiality obligation extends to all aspects of the readings, including any information regarding the Client's spouse or loved ones, and shall remain binding indefinitely.

California Media Release Compliance:

Any and all images, photographs, videos, or audiovisual recordings captured at any point during our retreats and experiences may be utilized for media and marketing purposes. By participating in our services, the Client grants Riz Mirza and associated entities the irrevocable right and permission to use, reproduce, distribute, and display such media content for promotional, marketing, or other lawful purposes. However, such use shall be conducted in compliance with applicable California laws and regulations concerning privacy and publicity rights. The Client retains the right to request the removal or non-use of their likeness or image upon written request, in accordance with California legal standards.

In conformity with the following legally binding Terms of Service, hereinafter referred to as "Terms," these provisions shall govern all psychic medium services and readings rendered to the Client by Riz Mirza, whether conducted in a collective or individual context. The collective and individual services provided are collectively referred to herein as the "session," and these Terms shall be applicable to all sessions conducted by Riz Mirza for the Client, irrespective of the date or circumstance of delivery. For the purposes of these Terms, "Riz Mirza" encompasses Riz Mirza individually, Oriah Mirza, any children of Riz Mirza, employees, assistants, interns, agents acting on behalf of Riz Mirza, and any corporate or legal entity under the control or ownership of Riz Mirza.

Pursuant to the stipulations outlined in these Terms, the Client expressly consents to release and hold harmless Riz Mirza from any and all liability pertaining to any legal claims, including but not limited to those arising from the execution, outcome, or consequences of the session, whether in part or in whole, to the fullest extent permissible under the law. This release and indemnification are considered binding and irrevocable unless otherwise stipulated by applicable law and duly executed by both parties through written agreement.

In accordance with the terms and conditions herein, by entering into this agreement, the party of the first part (hereinafter referred to as the "Client") acknowledges and accepts the potentiality of non-receipt of services in the event of unforeseen and exceptional circumstances beyond the control of the party of the second part (hereinafter referred to as "Riz Mirza"), including but not limited to medical emergencies, family-related emergencies, or analogous occurrences. In such circumstances, Riz Mirza shall not be held liable for non-performance.

In the event of non-performance as described herein, Riz Mirza shall promptly reimburse the Client with a sum of $500, herein referred to as the "Reimbursement Fee," as the sole remedy for the Client. This Reimbursement Fee is intended to compensate the Client for any inconvenience or financial loss suffered due to the aforementioned exceptional circumstances resulting in the inability of Riz Mirza to deliver the contracted service.

In the event that a client fails to make the full payment for a retreat ticket by a specified due date, the client acknowledges and agrees, as a condition of making any payments and as a material term of their reservation, that their reservation for said retreat ticket shall be forfeited. The client further acknowledges and agrees that these terms and conditions, including the forfeiture provision, have been reviewed and accepted prior to making any payments.

By accepting these terms and conditions, the client holds Riz Mirza, Red Eagle Universal Inc, Oriah Mirza, and all affiliated parties harmless and indemnifies them against any liability or responsibility for refunding any portion of the payment in the event of non-completion of the full payment. This provision is binding and enforceable to the fullest extent permitted by applicable law.

ONLINE COMMUNICATION

At Riz Mirza's sole discretion, Riz Mirza commits to providing the recipient with specific legal information in written form at regular intervals, as determined by Riz Mirza. The specific content and nature of such legal information shall be determined by Riz Mirza and communicated to the recipient in a clear and comprehensive manner.

By availing oneself of our Services, the recipient hereby consents and assents to the terms and conditions outlined in our Electronic Communications Policy ("Policy"), which delineates the manner in which such information shall be delivered.

The Policy stipulates that Riz Mirza possesses the prerogative to transmit information electronically, including, but not limited to, via electronic mail (email), in lieu of traditional paper-based communication, primarily for environmental conservation purposes.

Furthermore, the Policy hereby establishes and confirms that any electronic acceptance or agreement by the recipient shall be legally binding and possess the same legal force, effect, and significance as a physical signature executed on paper documentation, in accordance with applicable laws and regulations.

This legal disclaimer outlines the terms and conditions of participation in Sacred Earth Retreats organized by Red Eagle Universal Inc, hereinafter referred to as "the Organizer," under the direction of Riz and Oriah Mirza. Please carefully read and understand the terms before proceeding with your participation.

1. Right to Refuse Service:

The Organizer reserves the unequivocal right to refuse service to any individual, whether in the state of California, the USA, or internationally if it is believed that the person's conduct is disruptive, potentially dangerous, or poses a threat to the peace, safety, and well-being of the group, event, online experience, or international retreat.

2. Consequences of Refusal:

In the event the Organizer must remove a participant or refuses to work with them, the participant will forfeit any payments, and deposits, and all contracts become null and void. The Organizer and Red Eagle Universal Inc shall not be held liable or responsible in any way for any financial difficulties that may arise from such actions.

3. Health and Safety Standards:

The Organizer upholds the strictest standards of health and safety during all retreats, events, online experiences, and international retreats.

4. Compliance with Laws at Borders:

Participants are reminded that each country has its own laws and regulations regarding substances at its borders. It is the responsibility of each participant to ensure compliance with the laws of every country they visit during the retreat or international travel.

5. Legal Consequences and Costs of Detainment:

In the event a participant is detained by authorities for any reason related to their conduct, substances, or actions, it is solely the participant's responsibility to retain legal representation and bear all associated costs.

6. Prohibited Conduct:

Participants are strictly prohibited from harming, disturbing, or causing any health and wellness issues to anyone during the retreat, personal Zoom meetings, live online courses, or in-person events.

7. Mental and Emotional Stability:

Participants who have mental or emotional instability or who are consuming addictive substances are responsible for refraining from bringing these conditions into the sacred healing environment of Sacred Earth Retreats.

Safety and security. From Riz & Oriah:

Due to recent events in Israel, West Bank and the Gaza Strip, tensions could escalate with little notice and the security situation could deteriorate suddenly. Monitor developments, remain vigilant and follow the instructions of local authorities. Due to the war in Israel we have halted all plans and reserved activities until the US State Dept gives a clear advisory of safe travel. Israel is one hour by flight from Egypt and may experience terrorist or a refugee situation. We have no idea how long this war can last, and so to abide by all safety measures we will reschedule this Egypt retreat due to uncontrolled and unforeseen situation such as war. If you want to reschedule to another retreat that is compatible in cost in another country we can discuss this. We are too close to our retreat date to decide last minute. Preventative and safe measures have to be made to protect your safety and the rest of the travelers on your retreat based on travel guidelines and State Dept warnings. ~Riz & Oriah

NEWS UPDATE: TOURISTS KILLED: On October 8, 2023, an Egyptian policeman shot and killed two Israeli tourists and their Egyptian guide at a tourist site in Alexandria. The Israeli foreign ministry said that Israeli authorities were working with the Egyptian government to bring the Israelis home. The suspected assailant was detained and the site of the attack was cordoned off.

PRIORITIZING WELL BEING OF TRAVELERS

The Company, Sacred Earth Retreats/Red Eagle Universal Inc, hereby solemnly declares its unwavering dedication to prioritize the safety and well-being of its travelers. The Company diligently pledges to comply with all travel advisories and warnings issued by the United States Department of State during periods of wartime.

It is expressly clarified that the Company shall not be held accountable or liable for the issuance of travel advisories or warnings by the United States Department of State or for its inability to anticipate the outbreak of war, which may result in the suspension, interruption, or postponement of a retreat to the affected country or any neighboring country. The Company disclaims any responsibility or liability for the content, timing, or consequences of such advisories and warnings, and any such occurrences shall not constitute a breach of contract, and the Company shall be released from any legal or financial obligations arising therefrom.

Furthermore, travelers are strongly advised to independently assess and consider the guidance provided by the United States Department of State and other relevant authorities before embarking on any retreat or travel organized by the Company, and to exercise prudence and due diligence in making their travel decisions. By participating in Company-organized retreats, travelers acknowledge and accept the inherent risks associated with international travel if war were to break out, including abrupt changes in plans or cancellations beyond the Company's control.

This declaration is intended to constitute a legally binding agreement and shall serve as a complete and exclusive expression of the understanding between the Company and its travelers regarding the matters outlined herein. Any contrary interpretations or representations are expressly disavowed, and this agreement may only be modified in writing and signed by authorized representatives of the Company.

Red Eagle Universal Inc, hereinafter referred to as 'the Company,' hereby issues this statement with the intent of ensuring comprehensive protection and without waiving any of its rights or legal defenses, expressly reserves the right to invoke any and all applicable legal provisions and defenses under the relevant laws, regulations, or contractual obligations that may arise, whether presently known or discovered in the future, in order to safeguard its interests, reputation, and legal standing. This statement is not intended, nor should it be construed, as a waiver, admission, or relinquishment of any rights, claims, or defenses that the Company may possess, now or in the future, whether arising from statute, common law, or contractual obligations, and any reliance or interpretation of this statement to the contrary shall be without prejudice to the Company's position.

The Egypt retreats, including the February 2024 retreat, were forcefully canceled by strict recommendation by the US State Dept and transferred to December 2024. This means that the retreats were canceled due to circumstances beyond the organizer's control, and all registrants will be automatically transferred to the December 2024 retreat. The retreat is still commencing, but it will now be held in December 2024 instead of February 2024. The private group will be transferred to Oct 2024. * (for more information scroll below)

Force Majeure Clause - Natural Disasters and War

1. Natural Disaster Definition: For the purposes of this agreement, a "natural disaster" shall be defined as an extraordinary and unforeseeable event of natural origin, including but not limited to hurricanes, earthquakes, floods, wildfires, tsunamis, tornadoes, volcanic eruptions, or any other similar event that renders the safe and reasonable operation of a retreat impossible, significantly impairs its feasibility, or poses a serious threat to the safety of participants.

2. War Definition: "War" refers to declared or undeclared hostilities, armed conflicts, civil wars, rebellions, insurrections, terrorist activities, military coups, and any other situation where violence and conflict between opposing parties or entities exist, regardless of whether it is officially recognized as a state of war.

3. Travel Advisory and Common Sense: Participants in retreats offered by Red Eagle Universal Inc / Sacred Earth Retreats are responsible for monitoring and adhering to travel advisories issued by the United States Department of State and other relevant authorities. Clients are expected to use common sense and exercise caution when considering travel to regions or countries with high-risk factors or adverse conditions. The company reserves the right to cancel or reschedule a retreat if it deems the destination to be unsafe based on travel advisories or common sense.

4. No Refunds Policy: Red Eagle Universal Inc / Sacred Earth Retreats is a small family-owned sacred tour company and is not a travel agency or tour company in the traditional sense. Due to the unique nature of our services and the challenges presented by natural disasters or war, we do not issue any refunds to clients in the event of retreat cancellation or rescheduling*. Clients acknowledge and accept this policy by booking a retreat with us.

5. Agreement to Terms and Conditions: Clients are required to thoroughly read, understand, and agree to the Terms and Conditions provided by Red Eagle Universal Inc / Sacred Earth Retreats before booking a retreat. Your acceptance of these terms is indicated by your signature on the booking form or through electronic acceptance via our booking platform.

6. Legal Compliance: This agreement is governed by and construed in accordance with the laws of the State of California and the United States. Any legal action or proceeding arising out of or related to this agreement shall be filed in the appropriate state or federal court located within the State of California.

7. Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

CANCELATION/TRANSFER

The two current Egypt retreats were canceled due to circumstances beyond the organizer's control, and all registrants will be automatically transferred to the Public Egypt retreat dates of December 2nd-10th 2024 (an existing retreat) from the Feb 2024 retreat.

Rescheduling and Payment Transfer Commitment

Red Eagle Universal Inc / Sacred Earth Retreats is committed to the safety and well-being of our clients. In the event that a retreat must be canceled or rescheduled due to reasons such as natural disasters, war, travel advisories, or other circumstances that may pose a risk to participants, we will do everything within our power to ensure the safety of our clients and to provide alternative arrangements.

Rescheduling Commitment: We will make every reasonable effort to reschedule the retreat to a time when it is safe to visit the originally planned destination. This may involve shifting the retreat to a different date or relocating it to an alternative destination. Our goal is to offer clients an experience that aligns with the original intent of the retreat while prioritizing safety.

Payment Transfer Option: If a retreat is canceled or rescheduled due to safety concerns, Red Eagle Universal Inc / Sacred Earth Retreats is willing to work with clients to transfer payments made for the retreat to other services or future retreats offered by our company. We understand that unforeseen circumstances may disrupt travel plans, and we are committed to finding fair and mutually agreeable solutions.

Liability for Physical Loss or Bodily Harm:

By agreeing to these terms and conditions, the participant acknowledges and agrees that they shall assume full responsibility and liability for any and all physical loss or bodily harm that may occur to them during their participation in the activities associated with this retreat. The participant hereby waives any right to hold the retreat organizers, their affiliates, officers, directors, employees, agents, and representatives liable for any such injuries, losses, damages, claims, liabilities, expenses (including, but not limited to, medical expenses and legal fees), or any other consequences arising directly or indirectly from their participation in the retreat.

Furthermore, the participant agrees to indemnify and hold harmless the retreat organizers and their respective affiliates, officers, directors, employees, agents, and representatives from and against any claims, actions, suits, costs, damages, judgments, and expenses (including reasonable attorneys' fees) arising out of or related to any injury, loss, or damage they suffer as a result of their participation in the retreat, regardless of whether such injury, loss, or damage was caused by the negligence of the retreat organizers or otherwise.

This clause is intended to be as broad and inclusive as is permitted by the laws of the State of California and shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under or related in any way to this agreement or the participant’s participation in the retreat shall be resolved through binding arbitration in the State of California in accordance with the rules of the American Arbitration Association.

Liability for Physical Loss or Bodily Harm Addendum:

Notwithstanding the foregoing, Sacred Earth Retreats emphasizes its commitment to participant safety by undertaking additional precautions and implementing rigorous safety protocols. Sacred Earth Retreats takes deliberate measures to ensure the safety, security, and well-being of all participants, including but not limited to, selecting travel destinations and accommodations that meet our high standards for safety and security. Our dedication to creating a secure environment is reflected in our impeccable record of no emergencies or travel-related issues over the past decade.

Despite these efforts, participants are reminded that they are solely responsible for obtaining their own travel insurance. This insurance should provide adequate coverage for any unforeseen events, including but not limited to physical loss, bodily harm, medical emergencies, and travel interruptions. Participants are advised to carefully review their travel insurance policies to ensure comprehensive coverage that aligns with the activities and locations associated with the retreat.

Sacred Earth Retreats' proactive approach to safety and security does not diminish the participants' responsibility to assume liability for their personal well-being, as detailed in the primary provision above. This addendum serves to underscore Sacred Earth Retreats' prioritization of participant safety while reaffirming the participants' obligation to secure appropriate travel insurance. This policy, inclusive of this addendum, shall be governed by and construed in accordance with the laws of the State of California.

Hosting Private/Public Shaman Retreat

Legal Disclaimer for Sacred Earth Retreats Host Agreement (California & United States).

Assumption of Risk and Release of Liability.

By signing this Agreement and becoming a Host for Sacred Earth Retreats ("Sacred Earth," "we," "us," or "our"), you acknowledge and agree to the following:

Inherent Risks: You understand that participation in retreats, regardless of perceived risk level, inherently involves the possibility of accidents, injuries, illness, property damage, and other unforeseen events.

Release of Liability: You, on behalf of yourself, your heirs, assigns, personal representatives, and estate, hereby release and forever discharge Sacred Earth Retreats, Red Eagle Universal Inc., Riz Mirza, and Oriah Mirza (collectively, the "Released Parties") from any and all claims, demands, liabilities, losses, or damages arising out of, or in any way connected with, your participation as a Host for a Sacred Earth Retreat. This includes, but is not limited to, any claims for personal injury, property damage, emotional distress, or wrongful death.

Insurance Recommendation: The Released Parties are not responsible for providing accident or medical insurance. You are encouraged to obtain your own renters or travel insurance to protect yourself from any potential risks associated with retreat participation. This recommendation applies not only to activities with Sacred Earth Retreats but also to any similar activities you may engage in elsewhere that are similar in nature.

Please note: This Agreement is governed by the laws of the State of California, United States of America.

Your continued participation as a Host following the signature of this Agreement constitutes your full understanding and acceptance of these terms.

We recommend you consult with an attorney if you have any questions regarding this Agreement.

For semi-private/public hosting:

You are agreeing to allow pre-screened individuals to join in our experience, as long as you abide by all the rules for Riz & Oriah to be there to properly enjoy a secure and sacred experience. Please also, know when you agree to Terms & Conditions that means we are going to be publically posting a picture of your environment you send us, whether it be your indoor room that is spacious or an outdoor area accommodating to allow potential guests to know what the space looks like.

Indemnity Obligation: You, as the client, agree to take responsibility for covering any losses ("Losses") that Red Eagle Universal Inc or its affiliates (collectively referred to as "REU Indemnitees") might face due to legal actions ("Actions") brought by third parties.

Scope of Indemnity:

Customer Data: You're responsible if issues arise from the data you provide, especially if Red Eagle Universal Inc processes this data based on the agreement.
Provided Materials: You must also cover losses related to any services or information you supply to Red Eagle Universal Inc.
Breach of Agreement: If client (you) alleges that Red Eagle Universal Inc broken the terms of your contract with Red Eagle Universal Inc (e.g., not meeting the standards you promised), you need to handle the resulting legal consequences.
Actions by Authorized Users: You're responsible for any actions taken by participants who you authorize verbally or in written form to represent you.
Negligence or Misconduct: You're liable for any losses due to negligence or intentional wrongdoing or misrepresentation or libel by you, your authorized participants, or anyone acting on your behalf towards Red Eagle Universal Inc.

Defend and Hold Harmless: Not only must you cover any financial losses, but you must also defend Red Eagle Universal Inc against these claims and ensure that they do not suffer any legal fallout.

This provision is designed to protect Red Eagle Universal Inc from financial and legal harm caused by your actions or the actions of those associated with you or your parties.

Limitation of Liability.

Neither Party's liability for death or personal injury caused by its negligence or the negligence of its employees, agents, or subcontractors or for fraudulent misrepresentation is excluded or limited by this Agreement. Other than that as set out above, neither Party shall be liable (whether for breach of contract, negligence, or for any other reason) for any: (i) loss of profits; (ii) loss of sales; (iii) loss of revenue; (iv) loss or waste of management or staff time, or interruption to business; (v) indirect, consequential, or special loss; even if the Parties have been advised of the possibility of such losses. Red Eagle Universal Inc’s total liability under this Agreement shall not exceed the sum of Five Hundred Dollars ($500). The Parties hereby acknowledge that the mutual covenants and agreements set forth in this Agreement reflect this allocation of risk.

This means they are legally protected from breach of contract claims for these failures or delays.

Choice of Law; Venue; Arbitration.

This Agreement shall be governed by the laws of the State of California without giving effect to any conflicts of laws principles. You, as the client, agree that any Action arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputed Claim(s)”) will be resolved, upon notification by you or Red Eagle Universal Inc (as applicable), exclusively and finally by binding arbitration.

You expressly waive the right to participate as a representative or member of any class of claimants pertaining to any Disputed Claims. The arbitration of the Action will be conducted by the American Arbitration Association (“AAA”) pursuant to its Commercial Arbitration Rules (including, without limitation, the Supplementary Procedures for Consumer-Related Disputes, if applicable) (“AAA Rules”). Neither you nor we will have the right to litigate arbitrated Disputed Claims in court or to have a jury trial on Disputed Claims or to engage in pre-arbitration discovery, except as provided for in the AAA Rules or by written agreement of the parties involved. The arbitration may be conducted by telephone, online, or based solely upon written submissions.

A party who desires to initiate arbitration must provide the other party with a written demand for arbitration as specified in the AAA Rules (“Demand for Arbitration”). The arbitrator will be either a retired judge or an attorney licensed to practice law in the State of California and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within ten (10) business days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules. An award of damages, if any, must be consistent with the terms of the Limitation of Liability section of this Agreement as to the types and the amounts of damages for which a party may be held liable.

Limitation on Awards:
- Types of Relief: The arbitrator can grant damages and other relief, but only in a manner consistent with the agreement, particularly the "Limitation of Liability" section, which may restrict the types and amounts of damages that can be awarded.
- Declaratory and Injunctive Relief: Any declaratory or injunctive relief (orders to do or stop doing something) awarded by the arbitrator will be only for the benefit of the party seeking relief and only to the extent necessary to provide relief for the claim made by that party.

This clause is designed to streamline dispute resolution, minimize litigation costs, and keep disputes private while ensuring that any proceedings are conducted fairly under predefined rules.

Entire Agreement. This Agreement supersedes and replaces all previous versions of this agreement or any other agreement between some or all of the parties concerning the services provided by Red Eagle Universal Inc.

Each Party acknowledges that it has read this Agreement, and understands it, and agrees to be bound by its terms, and further agrees that this is the complete and exclusive statement of the Agreement between the parties with respect to the subject matter herein and supersedes all prior proposals, understandings and all other agreements, oral and written. This Agreement may not be modified or altered except by a written instrument duly executed by the Parties.

In Summery as mentioned earlier: Signature/Counterparts. By completing the fields in the signature section, the client represents and warrants that they have the legal right, power, and authority to enter into this Agreement and hereby agrees to be bound by the terms contained herein. By typing the client’s name (your name) in the space provided in the fee and signature box or any documents by Docu-sign, the client acknowledges that their typewritten name acts as a handwritten signature complying with electronic signatures as described in the provisions of the U.S. E-SIGN Act (i.e., the Electronic Signatures in Global and National Commerce Act). The parties may execute this Agreement in counterparts. Each executed counterpart will be considered an original document and all executed counterparts, together, will constitute the same Agreement.
